Verify Chapter 47F applicability first
Chapter 47F applies to planned communities created on or after January 1, 1999. Older communities may have opted in by 67-percent owner vote. Some small (under 20-lot) or wholly nonresidential communities are exempt or have separate opt-in provisions. Confirm in the declaration which statutory framework applies — that determines what governance and lien-related provisions apply by default.
No statutory resale disclosure
Chapter 47F imposes no resale-disclosure obligation on HOAs. Some declarations require an estoppel letter; many do not. There is no statutory equivalent to Chapter 47C's basic fee statement. The contract is the buyer's primary mechanism for forcing documentation delivery — build it in explicitly.
What to request from a North Carolina HOA seller
Declaration and amendments, bylaws, articles of incorporation, current rules, current operating budget, recent financial statements, current dues statement and unit-level unpaid-assessment balance, master policy declarations page (if one exists), 18+ months of board and member meeting minutes, the developer-transition documentation for recently transitioned communities, and any open litigation summaries. None of this is automatic.
Governance baselines under Chapter 47F
Annual member meetings are required under G.S. 47F-3-108 with 10–60 day notice. Owners have records-inspection rights under G.S. 47F-3-118. Board members owe fiduciary duties under Chapter 55A nonprofit corporate law. 2011 amendments clarified open-meeting and records requirements.
